PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES.

By accessing, browsing, or using the website or services provided by Brain Frame AI, Inc. (“Brain Frame,” “we,” “us,” or “our”), you (the “User,” which includes both individual and business customers) agree to be bound by these Terms and Conditions (“Terms”). These Terms govern your right to use our “Services”, which includes but is not limited to: our software ecosystem, platform, devices, appliances, applications, accessories, websites, or integrations.

If you do not agree to these Terms, you must not use the Services.

1. Acceptance of Terms

By clicking “I Accept” or otherwise using our services, you confirm that you are of legal age to enter into a binding contract, and you agree to these Terms in their entirety. We reserve the right to modify these Terms at any time at our sole discretion. Continued use of the service after any modifications constitutes your acceptance of the revised Terms.

2. What we provide

A. Brain-Frame’s mission is to create superior AI appliances, services, and products that prioritize safety, performance and privacy.

B. Disclaimer of Guarantee: The services provided by Brain Frame are complex and advanced. While we strive for accuracy, the information, advice, or commands generated by our services are provided “AS IS” and “AS AVAILABLE.” We do not guarantee that the services will be uninterrupted, error-free, or always available.

C. Acceptable Use: You agree to use our Services only for lawful purposes. You are responsible for all activity under the account through which you access the Services. You may not access or use, or help another person to access or use, our Services in the following ways:

  1. In any manner that violates any applicable law or regulation — including, without limitation, any laws about exporting data or software to and from the United States or other countries.
  2. To develop any products or services that compete with our Services, including to develop or train any artificial intelligence or machine learning algorithms or models or resell the Services.
  3. To decompile, reverse engineer, disassemble, or otherwise reduce our Services to human-readable form, except when these restrictions are prohibited by applicable law.
  4. To crawl, scrape, or otherwise harvest data or information from our Services other than as permitted under these Terms.
  5. To use our Services, the Materials, or the Actions to obtain unauthorized access to any system or information, or to deceive any person.
  6. To infringe, misappropriate, or violate intellectual property or other legal rights (including the rights of publicity or privacy).
  7. To engage in any other conduct that restricts or inhibits any person from using or enjoying our Services, or that we reasonably believe exposes us — or any of our users, affiliates, or any other third party — to any liability, damages, or detriment of any type, including reputational harms.
  8. To rely upon the Services, the Materials, or the Actions to buy or sell securities or to provide or receive advice about securities, commodities, derivatives, or other financial products or services, as Brain Frame is not a broker-dealer or a registered investment adviser under the securities laws of the United States or any other jurisdiction.

You also must not abuse, harm, interfere with, or disrupt our Services, including, for example, introducing viruses or malware, spamming or DDoSing Services, or bypassing any of our systems or protective measures.

3. User Accounts and Credentials

A. Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any suspicious activity.

B. Account Termination: We reserve the right, but are not obligated, to suspend or terminate any account that violates these Terms or is found to be engaged in abusive or illegal activity.

4. Billing, Payments, and Subscriptions

A. Billing: Subscriptions or purchases to the Brain Frame platform and any associated add-ons are processed through third-party payment processors. You agree to provide accurate billing information.

B. Payment Changes: You are responsible for paying all applicable charges, including any rate changes, taxes, and service fees, even if you pause or suspend service.

C. Refunds and Cancellations: Our refund policy is detailed in our dedicated Refund Policy (or in the Terms of Service). Purchases are generally non-refundable once services have been utilized.

D. Billing Disputes: All billing disputes must be raised directly with our billing department.

5. Intellectual Property and Content

A. Ownership: All content, software, and services provided by Brain Frame remain the exclusive property of the company, except for individual purchases of Spot devices which are intended to become owned by the customer.

6. Limitation of Liability

A. “AS-IS” Basis: The services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied.

B. Limitation: To the maximum extent permitted by law, the company shall not be liable for any indirect, punitive, incidental, or consequential damages arising out of or related to the use of the service or device.

C. Indemnity: You agree to defend and indemnify us against any claims, demands, or lawsuits arising out of your breach of this agreement or misuse of the service and device.

7. Governing Law and Jurisdiction

A. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

B. Dispute Resolution: Any disputes arising under these Terms shall be settled by binding arbitration in Salt Lake County, South Jordan, Utah according to the rules in the state or federal courts.

8. Acceptance of Terms

By accessing or using our services, you confirm that you have read, understood, and agreed to all the terms and conditions set forth in this document. If you do not agree with these terms, you must immediately cease use of the service.
